Estoppel Certificate

Real Estate Investing Glossary – Malone Global University

Definition

An estoppel certificate is a signed statement by a tenant confirming key facts about a lease, including rent amount, lease term, security deposits, and whether any defaults exist.

It prevents the tenant from later contradicting the confirmed information.

Why It Matters

Common Information Included

When It Is Used

Example

A buyer is acquiring an office building. The lease states rent is $25 per square foot. The estoppel certificate confirms the tenant is paying that rent and has no claims against the landlord. This reduces uncertainty in the transaction.

Legal Effect

Once signed, the tenant is generally prevented (estopped) from asserting facts inconsistent with the certificate, absent fraud or mistake.
