Promote

Real Estate Investing Glossary – Malone Global University

Definition

A promote is the sponsor’s performance-based share of investment profits—often called carried interest. It is paid to the GP/sponsor only after the LP investors receive an agreed return (or “hurdle”) and sometimes a return of capital. The promote is designed to align incentives: the sponsor earns more only when the deal performs well.

Where the Promote Shows Up

Promotes are most common in private equity-style real estate (value-add and development), where the sponsor is actively creating value. The promote is expressed and paid through a waterfall—a set of rules that determines how cash flow and sale proceeds are split.

How It’s Structured

Most waterfalls have “tiers” that increase the sponsor’s share as performance improves. A simple structure looks like:

Common promote language

Why It Matters

The promote changes the split of upside, which affects LP net IRR, equity multiple, and how much “value creation” is required to justify a business plan. Underwriting a deal without correctly modeling the promote can make an investment appear meaningfully better than it is.

Investor Uses

Example

Suppose a deal has a simple waterfall: return of capital, then an 8% preferred return, then 80/20 split (LP/GP) of remaining profits.

This structure protects investors in mediocre outcomes and rewards the sponsor mainly in strong outcomes.
